  11.         SINGLE USER LICENSE AGREEMENT
  12.  
  13. IMPORTANT - READ CAREFULLY!
  14. YOU SHOULD CAREFULLY READ THE FOLLOWING TERMS AND CONDITIONS.
  15. YOUR INSTALLING OF THIS SOFTWARE PACKAGE INDICATES YOUR ACCEPTANCE OF THEM.

  17. By installing this software package (the "SOFTWARE"), or exercising your
  18. rights to make and use copies of the SOFTWARE (as may be provided for
  19. below), or pressing the 'Accept' button below, you agree to be bound by the
  20. terms of this Polar License Agreement. If you do not agree to the
  21. terms of this Agreement, you are not allowed to use the SOFTWARE.
  22. If you would like specific rights not granted in this agreement,
  23. please contact Polar for more information.

  26. Polar Software License Agreement
  27.  
  28. The enclosed software, including, but not limited to, one or more of
  29. the following: source code, object code, dynamic link libraries,
  30. static libraries, header files, sample programs, utility programs,
  31. Makefiles and scripts, together with the accompanying documentation
  32. (collectively known as the "SOFTWARE") is owned by Polar or its
  33. suppliers and is protected by international copyright laws and
  34. treaties. Therefore, you must treat the SOFTWARE like any copyrighted
  35. material (e.g., a book or musical recording) except that you may make
  36. either (a) one backup copy of the SOFTWARE solely for backup purposes,
  37. or (b) transfer the SOFTWARE to a hard disk and keep the original copy
  38. solely for backup purposes.
  39.  
  40. Polar grants to you (one software programmer) the limited
  41. right to use only one copy of the SOFTWARE on a single computer
  42. (typically one personal computer) in the manner set forth in this
  43. agreement. Each Software Programmer must have his or her own license
  44. to use the SOFTWARE.
  45.  
  46. The SOFTWARE is protected by copyright laws and international copyright
  47. treaties, as well as other intellectual property laws and treaties.
  48. THE SOFTWARE PRODUCT IS LICENSED, NOT SOLD.
  49.  
  50. LICENSE - YOU MAY:
  51.  
  52. 1. Use the SOFTWARE on a single computer for purposes of developing
  53.    application programs. The SOFTWARE is "in use" on a computer when
  54.    it is loaded into temporary memory or installed into permanent
  55.    memory of such computer. Installation on a network server for the
  56.    sole purpose of internal distribution does not constitute "use"
  57.    requiring a development license, but you must have a separate
  58.    license for each computer on the network used for developing
  59.    applications programs. Application programs include but are not
  60.    limited to programs and HTML pages.
  61.  
  62. 2. Distribute an unlimited number of copies of the DLL, VBX or OCX
  63.    files as part of the application developed using the Software
  64.    provided the conditions described in paragraph 2.1 are met.
  65.  
  66.    2.1 The application must include proper copyright notification
  67.    for the SOFTWARE. The copyright notice must be included with any
  68.    copyright notice for the including application or at least once
  69.    in the user interface, and in the printed and electronic
  70.    documentation, and packaging. The copyright notification must
  71.    be worded similar to the following: This product contains PRODUCT
  72.    from Polar. Copyright 1998-1999. All rights reserved.
  73.    Substitute the name of the included SOFTWARE for PRODUCT
  74.    (i.e. Polar SpellChecker Component).
  75.  
  76. 3. Make one copy of the SOFTWARE for backup or archival purposes or
  77.    copy the SOFTWARE to a single permanent storage medium provided
  78.    you keep the original solely for backup or archival purposes.

  80. 4. Combine the run time portion of the SOFTWARE with your software
  81.    program for use subject to the restrictions set forth in
  82.    Subparagraphs (1) and (2) above. Any portion of the SOFTWARE
  83.    distributed with your program will continue to be subject to the
  84.    terms and conditions of this License. You must reproduce and
  85.    include the Polar copyright notice on any copy or merged portion
  86.    of the SOFTWARE.

  88. 5. Permanently transfer the SOFTWARE together with this License to
  89.    another party, but only if the other party agrees to accept the
  90.    terms and conditions of this Agreement. If you transfer the
  91.    SOFTWARE and License, you must at the same time notify Polar of
  92.    the name and address of the transferee. You also must either
  93.    transfer all copies, merged portions, upgrades and prior versions
  94.    of the SOFTWARE, together with all SOFTWARE documentation, to the
  95.    same party or destroy those not transferred. Any such transfer
  96.    terminates your License.
  97.  
  98. 6. Modify (i.e. modify the source code and rebuild) the dynamic link
  99.    libraries and statically linked libraries and incorporate the modified
  100.    dynamic link libraries and statically linked libraries into software
  101.    application products that you develop.
  102.  
  103. 7. Make and distribute copies of the dynamic link libraries and
  104.    statically linked libraries of the SOFTWARE as incorporated into
  105.    software application products that you develop provided that the
  106.    SOFTWARE, or other Polar products, do not constitute a
  107.    major portion of the value of your product.
  108.  
  109. 8. Solely with the respect to electronic documents, you may make an
  110.    unlimited number of copies (either in hardcopy or electronic form),
  111.    provided that such copies shall be used only for internal purposes and
  112.    are not republished or distributed beyond the licensee's premises.
  113.  
  114. 9. Use and modify the source code version of those portions of the
  115.    SOFTWARE that are identified in the documentation as the Sample Code
  116.    ("SAMPLE CODE"), provided you do not distribute the SAMPLE CODE, or
  117.    any modified version of the SAMPLE CODE, in source code form.

  120. PROHIBITED USES - YOU MAY NOT:
  121.  
  122. 10. RENT, LEASE, OR LEND THE SOFTWARE OR SOFTWARE DOCUMENTATION.
  123.  
  124. 11. OTHERWISE TRANSFER OR USE, COPY, OR MERGE THE SOFTWARE,IN
  125.     WHOLE OR IN PART, EXCEPT AS EXPRESSLY PERMITTED IN THIS LICENSE.
  126.  
  127. 12. MODIFY, DECOMPILE, DISASSEMBLE, REVERSE ENGINEER OR TRANSLATE
  128.     THE SOFTWARE.
  129.  
  130. 13. REPRODUCE, MODIFY OR TRANSLATE THE SOFTWARE DOCUMENTATION.
  131.  
  132. 14. REMOVE ANY PROPRIETARY NOTICES, LABELS OR MARKS ON THE SOFTWARE
  133.     OR SOFTWARE DOCUMENTATION.
  134.  
  135. 15. DEVELOP OR DISTRIBUTE APPLICATIONS THAT PROVIDE DIRECT ACCESS
  136.     TO THE SOFTWARE'S PROGRAMMING INTERFACE.
  137.  
  138. 16. BUNDLE THE SOFTWARE IN A DEVELOPMENT ENVIRONMENT.
  139.  
  140. 17. USE THE SOFTWARE TO CREATE AN APPLICATION THAT IS NOT SIGNIFICANTLY
  141.     DIFFERENT THAN THE VBX/DLL OR OCX.
  142.  
  143. 18. SEPARATION OF COMPONENTS. THE SOFTWARE PRODUCT IS LICENSED AS A
  144.     SINGLE PRODUCT. ITS COMPONENT PARTS MAY NOT BE SEPARATED FOR USE
  145.     ON MORE THAN ONE COMPUTER.
  146.  
  147. 19. EXPOSE THE INTERFACES OF THE SOFTWARE THROUGH YOUR APPLICATION.
  148.     (e.g. an OCX, DLL, class library, etc..)
  149.  
  150.  
  151. The source codes of the SOFTWARE are valuable assets of Polar.
  152. You agree to keep all source codes of the SOFTWARE in confidence.
  153. You may not transfer or assign the SOFTWARE or your rights under
  154. this agreement.
  155.  
  156. TERM:
  157. You may terminate your License and this Agreement at anytime by
  158. destroying the SOFTWARE and SOFTWARE documentation together with
  159. all copies in any form.  They will also terminate automatically if
  160. you fail to comply with any term or condition of this Agreement,
  161. in which event you agree to destroy the SOFTWARE and SOFTWARE
  162. documentation together with all copies in any form, and to provide
  163. us upon our request with written certification of such destruction.

  165.  
  166. LIMITED WARRANTY/LIMITATION OF REMEDIES:
  167.  
  168. EXCEPT AS SPECIFICALLY STATED IN THIS AGREEMENT, THE SOFTWARE AND
  169. SOFTWARE DOCUMENTATION IS PROVIDED AND LICENSED "AS IS" WITHOUT
  170. WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT
  171. LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS
  172. FOR A PARTICULAR PURPOSE.

  175. LIMITAITION OF LIABILITY
  176.  
  177. IN NO EVENT WILL POLAR BE LIABLE TO YOU FOR ANY DAMAGES, INCLUDING
  178. WITHOUT LIMITATION LOST PROFITS OR REVENUES, LOSS OF DATA,
  179. BUSINESS INTERRUPTION LOSS, RECOVERY OR SUBSTITUTION COSTS,
  180. OR CLAIMS BY THIRD PARTIES, OR OTHER INDIRECT INCIDENTAL OR CONSEQUENTIAL
  181. DAMAGES, ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE,
  182. EVEN IF POLAR OR A POLAR DEALER HAS BEEN ADVISED OF THE POSSIBILITY OF
  183. SUCH DAMAGES. IN NO CASE SHALL POLAR'S LIABILITY EXCEED THE AMOUNT OF
  184. THE LICENSE FEE PAID BY YOU FOR THE SOFTWARE.
  185.  
  186. HIGH RISK ACTIVITIES
  187.  
  188. The SOFTWARE is not fault-tolerant and is not designed, manufactured
  189. or intended for use or resale as on-line control equipment in hazardous
  190. environments requiring fail-safe performance, such as in the operation of
  191. nuclear facilities, aircraft navigation or communication systems,
  192. air traffic control, direct life support machines, or weapons systems,
  193. in which the failure of the Software could lead directly to death,
  194. personal injury, or severe physical or environmental damage
  195. ("High Risk Activities").
  196. Polar and its suppliers specifically disclaim any express or implied
  197. warranty of fitness for High Risk Activities.

  200. TECHNICAL SUPPORT
  201.  
  202. Polar will provide you (the original licensee only) with
  203. limited technical support by electronic media for a
  204. period of 60 days after delivery of the SOFTWARE to you.

  211. GENERAL:
  212.  
  213. This agreement is governed by international copyright laws and
  214. treaties. The prevailing party in any action or proceeding brought
  215. in connection with a breach of this Agreement will be entitled to
  216. reimbursement by the other party for costs and reasonable attorneys'
  217. fees.
  218.  
  219. Any questions concerning this Agreement should be referred in writing
  220. to Polar (see our address on top of this agreement).
  221.  
  222. COPYRIGHT NOTICE. Copyright ⌐ 1998-1999 Polar and/or its suppliers,

  227. Any rights not expressly granted herein are reserved.

  230. YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, AND BY INSTALLING THIS
  231. SOFTWARE PACKAGE INDICATE YOUR ACCEPTANCE OF ITS TERMS AND CONDITIONS.
  232. YOU ALSO AGREE THAT IT IS THE COMPLETE AGREEMENT BETWEEN US AND THAT IT
  233. SUPERSEDES ANY PRIOR INFORMATION OR REPRESENTATIONS YOU RECEIVED RELATING
  234. TO THE SUBJECT MATTER OF THIS AGREEMENT. NO POLAR DEALER, DISTRIBUTOR
  235. REPRESENTATIVE OR EMPLOYEE IS AUTHORIZED TO MAKE ANY MODIFICATIONS OR
  236. ADDITIONS TO THIS AGREEMENT.
